"EMX Royalty Options Four Gold Projects in Idaho and Nevada to Hochschild Mining

Vancouver, British Columbia, December 21, 2021 (NYSE American: EMX; TSX Venture: EMX; Frankfurt: 6E9) – EMX Royalty Corporation (the “Company”, or “EMX”) is pleased to announce the execution, by its wholly-owned subsidiary Bronco Creek Exploration Inc., of exploration and option agreements (the "Agreements") for four precious-metals projects (the “Projects” or individually a “Project”) located in Idaho and Nevada to Hochschild Mining PLC (LSE: HOC) (“Hochschild”). The Agreements provide EMX with work commitments and cash payments during Hochschild's earn-in period, and upon earn-in for a given project, a 4% net smelter return (“NSR”) royalty, annual advance royalty payments, and milestone payments. Prior to final execution of the agreements, EMX and Hochschild agreed to, and commenced, initial exploration programs on all four Projects.

The three Idaho Projects, Valve House, Timber Butte, and Lehman Butte are located in southern and south-central Idaho (see Figure 1). Valve House and Timber Butte host Carlin-style gold mineralization in prospective carbonate-rich lithologies. Lehman Butte hosts epithermal style veins in Eocene volcanic rocks and jasperoids in older Paleozoic carbonate rocks. The Speed Goat Project hosts an intrusion-related gold-copper target located in the greater Battle Mountain-Eureka gold belt of north-central Nevada.

The Projects were recently acquired by staking prospective open ground during EMX’s ongoing regional scale, field-oriented royalty generation gold program. The Agreements with Hochschild serve as an example of the Company’s successful execution of the royalty generation aspect of its business model. Part and parcel to EMX’s business model, the Projects are now advancing with funding from a quality international mining company with EMX receiving pre-production payments while retaining upside optionality with retained NSR royalty interests.

Commercial Terms Overview. Pursuant to the Agreements, Hochschild can earn a 100% interest in a Project by (all dollar amounts in USD): (a) making option payments totaling $600,000, (b) completing $1,500,000 in exploration expenditures before the fifth anniversary of a given Agreement, and (c) reimbursing EMX the previous year’s holding costs. For clarity, the above terms are per individual Agreement covering an individual Project.

Upon an option exercise, EMX will retain a 4% NSR royalty on a Project. Hochschild may buyback up to a total of 1.5% of the royalty by first completing an initial 0.5% royalty buyback for a payment of 300 ounces of gold (or the cash equivalent) to the Company prior to the third anniversary of the option exercise. If the first buyback is completed, then the remaining 1% of the royalty buyback can be purchased anytime thereafter for a payment of 1,700 ounces of gold (or the cash equivalent) to the Company. Hochschild will also make annual advance royalty (“AAR”) payments of $50,000 that increase to $100,000 upon completion of a Preliminary Economic Assessment ("PEA"). The AAR payments for a Project cease upon commencement of production. In addition, Hochschild will make Project milestone payments consisting of: (a) $500,000 upon completion of a PEA, (b) $1,000,000 upon completion of a Prefeasibility Study, and (c) $1,000,000 upon completion of a Feasibility Study.

Project Overviews and 2021 Work Programs. The Projects optioned to Hochschild represent diverse styles of precious metals mineralization within, and along extensions of, key mineral belts in Idaho and Nevada.

Valve House, Idaho. Valve House is located approximately 25 kilometers southeast of Pocatello, Idaho. The Project covers 9.5 square kilometers of Carlin-style alteration and mineralization hosted within lower Paleozoic silty carbonate units. Gold mineralization is both structurally and stratigraphically controlled. The last noteworthy exploration, conducted in the 1980’s, identified three separate areas of gold mineralization and jasperoid replacement in limestone lithologies. Historical drill intercepts from this work included 42.7 meters averaging 0.87 g/t gold (from 10.7 to 53.4 m, true width unknown) and 21.3 meters averaging 0.71 g/t gold (from 0 to 21.3 m, true width unknown)¹. Mineralization remains open for expansion.

To date, Hochschild has conducted additional reconnaissance mapping and rock chip sampling, a property-wide soil survey and an induced polarization (“IP”) geophysical survey. As well, Hochschild expanded the property position by staking additional claims. Hochschild’s exploration results are pending.

Timber Butte, Idaho. Timber Butte is located approximately 15 kilometers northeast of Carey, Idaho. The Project is a Carlin-style target characterized by anomalous gold mineralization associated with jasperoid and decalcified carbonate bearing rocks along north-northwest oriented structures cutting Roberts Mountains Formation, a key host to Carlin-style mineralization in Nevada. Cordex explored a portion of Timber Butte in the 1970’s and completed three rotary holes that intersected anomalous gold mineralization. EMX’s work has extended beyond the historical target area with additional targets identified along trend and under shallow colluvial cover. EMX’s rock chip sampling of altered outcrops on the main structural trend returned assay results including 1.25 g/t gold (n=19, avg. 0.1 g/t Au) along a strike length of approximately 3.2 kilometers.

After completing additional reconnaissance mapping and rock chip sampling, Hochschild expanded the land position, completed soil sampling geochemical surveys over key target areas, and collected stream sediment samples. An IP survey is planned for the first part of 2022 while awaiting assay results from the geochemical sampling programs.

Lehman Butte, Idaho. Lehman Butte is located in south-central Idaho, approximately 15 kilometers west-northwest of Mackay. The target at Lehman Butte is low sulfidation epithermal precious metals mineralization in quartz-sulfide veins cutting Eocene lavas and tuffs which overlie Paleozoic carbonate units. The quartz-sulfide veins are commonly greater than one meter wide and associated with widespread quartz-clay-adularia alteration in intermediate volcanic rocks, as well as with jasperoid alteration in the underlying Mississippian age limestone. The Project was identified from an EMX regional stream sediment geochemical program. Follow-up reconnaissance work included a rock chip sample of 3.1 g/t gold and 19.8 g/t silver (n=35, avg. 0.185 g/t Au and 6.7 g/t Ag) coincident with silicified zones and quartz-pyrite feeder veins. EMX and Hochschild are targeting bulk-tonnage precious metals mineralization hosted within permeable tuffaceous units.

Hochschild’s recently completed work program entailed property-wide geologic mapping and rock chip sampling along with an 800-sample soil survey and ground magnetic geophysical program. Results are pending. An IP survey together with an initial drill test is planned for the spring of 2022.

Speed Goat, Nevada. Speed Goat is located within the Battle Mountain-Eureka Trend, approximately 30 kilometers northwest of the Phoenix-Fortitude intrusion-related skarn system in north-central Nevada. EMX identified gold-copper mineralization composed of sheeted quartz-iron oxide after sulfide veins cutting Jurassic granodiorite. Mineralization appears to be related to a series of north-south striking porphyry dikes. Reconnaissance soil sampling by EMX outlined a 0.6 by 1 kilometer gold-in-soil anomaly (n=73, avg. 82 ppb Au) coincident with rock chip assays from outcrop that included 5.1 g/t gold (n=20, avg. 0.67 g/t Au). The mineralization is also anomalous in pathfinder geochemical elements (e.g., Bi-As-Sb-Cu), consistent with other intrusion-related gold systems in the nearby Battle Mountain district.

At Speed Goat, Hochschild completed additional geologic mapping and select channel sampling across the target zone in addition to ground magnetic and IP geophysical surveys in preparation for an initial drill test.

Comments on Sampling, Assaying, QA/QC, and Historical Exploration Results. EMX’s exploration samples were collected in accordance with industry standard best practices. The samples were submitted to ALS laboratories in Reno, Nevada and Vancouver, Canada (ISO 9001:2017 and ISO/IEC 17025:2017 accredited) for sample preparation and analysis. Gold assays were performed by fire assay with an ICP/AES finish. EMX conducts routine QA/QC analysis on its exploration samples, including the utilization of certified reference materials, blanks, and duplicate samples. Gold assays were performed by fire assay with an ICP/AES finish. Silver and other elements were analyzed by four acid digestion with ICP-AES or AAS finish.

From EMX’s independent field work, including geological mapping and geochemical sampling, the historical drill results referenced from Meridian and Cordex are judged to be representative and relevant.

"Vancouver, British Columbia, January 4, 2022 (NYSE American: EMX; TSX Venture: EMX; Frankfurt: 6E9) – EMX Royalty Corporation (the “Company” or “EMX”) is pleased to announce results from recently completed geochemical surveys at EMX’s 100% owned Mt Steadman and Yarrol gold projects in central Queensland, Australia. Numerous gold-in-soil anomalies have been identified by surveys conducted on both projects, with several anomalies extending to the edges of the survey grids, meaning that they remain open for expansion. A total of 895 samples were collected, with results including 2.17 ppm gold in a new target area at Mt Steadman. Results from the Yarrol project also delineated several robust gold-in-soil anomalies, as well as a new target area with high levels of cobalt and nickel in rock chip samples. These results highlight the additional exploration potential of both projects.

EMX will continue executing exploration programs on both projects in the coming year, and both projects are currently available for partnership.

Mt Steadman Project. The 5,700 hectare Mt Steadman project is an intrusion-related gold system (“IRGS”) in the New England Orogenic Belt in Queensland, Australia, a province that hosts IRGS-type gold, porphyry and epithermal deposits. Mt Steadman is located along the Perry Fault system, a major structural feature in the area (see Figure 1). The Mt Steadman project was the focus of exploration in the 1990’s when shallow reconnaissance drilling programs led to the recognition and definition of historical gold resources. However little exploration has taken place since (see EMX News Release dated April 26, 2021).

In Q3 and Q4 2021, EMX conducted a broad soil geochemical survey to the north of the Fitzroy historical resource (see Figure 2). A total of 351 samples were collected on 200 meter and 400 meter spaced traverses with samples collected every 50 meters along each line. This program resulted in the delineation of multiple anomalous gold-in-soil trends. The most prominent anomaly extends for 400 meters along trend and reaches a maximum width of 200 meters at its northern extent. The anomaly remains open to the north and includes a sample of 2.17 ppm gold. This new soil anomaly is similar in scale and tenor to those around the historic Fitzroy prospect located 1km to the southeast. This anomaly also exhibits coincident anomalous molybdenum and tellurium geochemistry, similar to geochemical signatures seen at Fitzroy, and closely correlates with the mapped extent of a zone of hydrothermal breccias, quartz veining and alteration.

Yarrol Project. The 17,500 hectare Yarrol project is located between EMX’s Queensland Gold royalty property and Evolution Mining’s Mt Rawdon gold mine, and is positioned along the regional scale Yarrol Fault. Several other historical mines and active exploration projects lie along the Yarrol Fault structural trend. EMX’s Yarrol Project was the site of historical mining activities from the late 1800’s through the 1930’s. Further exploration carried out in the 1980’s and 1990’s led to the definition of two historical gold resources on the Yarrol Project, but little exploration activity has taken place since that time (see EMX news release dated April 26, 2021).

EMX’s 2021 programs at Yarrol included the collection of 544 soil samples, which identified two new gold-in-soil anomalies (see Figure 3). The northern anomaly, known as the Limestone Creek area, lies approximately five kilometers northwest of the historical Yarrol gold resources. This new anomaly has dimensions of 200 by 600 meters, with the strongest results along the southernmost line. The area was identified as a target by EMX on the basis of magnetic inversion geophysical models, previous geochemical results and the presence of numerous historical prospecting pits. The Limestone Creek anomaly also coincides with a zone of albite-silica-goethite alteration developed adjacent to a monzonite porphyry and remains open to the south. The anomaly has a scale and tenor that resembles those over the historical gold resources on the Yarrol Project.

Other gold-in-soil anomalies have been delineated immediately northwest of the historical Yarrol resources, along a contact zone between geological formations within folded and faulted sediments, which also merit follow-up exploration.

In the process of carrying out the sampling programs at the Yarrol Project, EMX geologists also noted boulders of dark manganiferous material in several drainages in the northern part of the exploration license. The boulders were traced back to an outcropping stratigraphic horizon of dark, manganiferous material that has the appearance of a conglomeratic unit.

Nine rock chip samples collected from various boulders, float materials and outcrop exposures averaged 1.1% cobalt, 0.15 % nickel and 10.0% manganese, with a high of 1.6% cobalt with 0.25% nickel. EMX considers this to be a significant discovery of additional mineral potential on the Yarrol Project, as previous efforts had strictly focused on Yarrol’s intrusion-related gold mineralization. Additional sampling programs are underway to better quantify the extent of this unit and its degrees of enrichment in cobalt, nickel and manganese. Barium is also enriched in this material, with eight of the nine samples submitted for analysis exceeding the upper analytical limit of 1% barium.

Upcoming Exploration Plans. Additional geochemical sampling programs will be carried out at both the Mt Steadman and Yarrol projects in the coming months with the goal of extending the soil anomalies and identifying additional drill targets. Drill programs are being planned for mid-2022.

EMX’s Australian Royalty Generation Program. EMX maintains an active royalty generation program and continues to review new project opportunities throughout Australia. The Company currently holds two royalty projects in Australia (Koonenberry and Queensland Gold) and has three exploration projects in Queensland that are available for partnership. More information on these projects can be found on the EMX website (www.EMXroyalty.com).

Comments on Sampling, Assaying, and Nearby Mines and Deposits. EMX’s exploration samples were collected in accordance with industry standard best practices. EMX conducts routine QA/QC analysis on its exploration samples, including the utilization of certified reference materials, blanks, and duplicate samples. All samples were submitted to ALS Brisbane for sample preparation and analysis (ISO 9001:2000 and 17025:2005 accredited).

The soil samples were analyzed using the AuME-TL-44 method which is a trace level gold and multi-element technique consisting of an aqua-regia digest and an ICP-MS finish.

The rock chip samples were analyzed with a four-acid super trace technique (ME-MS61) with an ICP-MS finish. The rock chip samples were also analyzed with a lithium borate fusion prior to acid dissolution (three-acid) and an ICP-MS finish (ME-MS81). Over limit cobalt and manganese samples were analyzed by a HF-HN03-HCL04 digest, HCL leach and ICP-AES (OG62) finish.

The nearby mines and deposits discussed in this news release provide context for EMX's properties, which occur in a similar geologic setting, but this is not necessarily indicative that the properties host similar mineralization.

"Vancouver, British Columbia, January 19, 2023 (NYSE American: EMX; TSX Venture: EMX; Frankfurt: 6E9) – EMX Royalty Corporation (the “Company” or “EMX”) is pleased to provide an update on advances at the Diablillos royalty property (the “Royalty Property” or “Property”) in Argentina. The Diablillos silver-gold project is being advanced by AbraSilver Resource Corp. (“AbraSilver”) (TSX-V: ABRA; OTCQX: ABBRF). EMX’s interest in the Property consists of a 1% net smelter return (“NSR”) royalty and a pre-production payment.

AbraSilver’s ongoing 15,000 meter, Phase III diamond drill program continues to expand and delineate the Southwest Zone (JAC target) discovery with near-surface, high-grade oxide intercepts such as 40 meters averaging 203 g/t silver starting at 114 meters in hole DDH-22-060, and 103 meters averaging 139 g/t silver starting at 65 meters and including 9.0 meters averaging 477 g/t silver and 0.23 g/t gold in hole DDH-22-061 (see AbraSilver news release dated December 15, 2022)1. The Southwest Zone (JAC) provides significant exploration upside to increase the mineral resources of the Property.

The JAC target is located along trend to the southwest of Oculto resource deposit, which had been the previous focus of exploration. AbraSilver announced an updated mineral resource estimate for Oculto reported at a 35 g/t silver equivalent2 cutoff that included measured and indicated resources of 51.3 Mtonnes averaging 66 g/t silver (109 Moz contained Ag) and 0.79 g/t gold (1.3 Moz contained Au) in Q4 of 2022.3 AbraSilver expects a maiden mineral resource estimate for the Southwest Zone (JAC) in the first half of 2023.

The Diablillos Royalty Property provides an example of an EMX royalty acquisition with significant exploration and development optionality resulting from early-stage advancements by the project operator. These advancements create value at no additional cost to EMX. The high-grade nature of the mineralization and exploration potential of multiple targets are particularly compelling upside aspects of the Property.

Commercial Terms Summary (all dollar amounts in USD). The royalty and payment obligations due to EMX are per an agreement originally between SSR Mining and AbraSilver, with EMX acquiring SSR Mining’s interests in 2021 (see EMX news releases dated July 29, and October 21, 2021). EMX’s 1% NSR royalty is uncapped and cannot be bought down. A payment to EMX of $7 million will be due in 2025, or upon commencement of commercial production, whichever comes first."

"Vancouver, British Columbia, August 1, 2023 (NYSE American: EMX; TSX Venture: EMX; Frankfurt: 6E9) – EMX Royalty Corporation (the “Company” or “EMX”) is pleased to announce the execution of a binding term sheet with Franco-Nevada Corporation (“Franco-Nevada”) (NYSE and TSX: FNV) for the joint acquisition of newly created precious metals and copper royalties sourced by EMX (the “Agreement”). Franco-Nevada will contribute 55% (up to US$5.5 million) and EMX will contribute 45% (up to US$4.5 million) towards the royalty acquisitions, with the resulting royalty interests equally split (i.e. 50/50). The initial term is for three years from the signing date, or until the maximum contributions totaling US$10 million from both companies have been met, and may be extended if mutually agreed by both companies.

EMX and Franco-Nevada believe that royalty financing capital is sorely needed in an exploration sector where equity capital is difficult to source. The Agreement allows EMX to direct a large amount of capital towards the royalty generation aspect of its business model, and Franco-Nevada to participate in exploration stage royalty financing opportunities identified by EMX. Franco-Nevada is already an EMX shareholder (6.1% fully diluted), having made a $10 million private placement to facilitate the Company’s purchase of additional royalty interests in the Caserones copper (molybdenum) mine in Chile last year (see EMX news release dated April 14, 2022). In parallel with EMX’s royalty acquisition, Franco-Nevada also purchased a royalty interest in Caserones.

Commercial Terms Overview. Pursuant to the terms of the Agreement dated June 27, 2023, EMX will source newly created precious metals royalties (“Precious Metals Royalties”) and/or copper royalties (“Copper Royalties”, and together with Precious Metals Royalties, “Royalties” and each a “Royalty”) exclusively for the benefit of EMX and Franco-Nevada (jointly the “Parties”). The Royalties will be for all minerals from mining projects having primary economic metal(s) that are precious metals or copper, but the Agreement will not apply to the purchase of existing third-party royalty interests or exploration lands.

The material Agreement terms are (all dollar amounts are in U.S. dollars (USD)):

Franco-Nevada will contribute 55% and EMX will contribute 45% of the purchase price of all Royalties, with such Royalties being equally split (i.e. 50/50) between each Party. Franco-Nevada will commit up to $5.5 million and EMX will commit up to $4.5 million for the acquisition of Royalties, totaling $10 million from both Parties (the “Capital Commitment”).
To illustrate the above, for a new 1% Royalty with a $1 million dollar purchase price, Franco-Nevada would contribute $550 thousand and EMX would contribute $450 thousand, with each Party receiving a 0.5% Royalty.
EMX will be responsible for managing all Royalty transaction sourcing, asset analysis, due diligence review, contract negotiations and other related activities in connection with the acquisition of Royalties.
The Agreement will expire upon the earlier of: (i) the contribution of the full Capital Commitment; or (ii) the date that is three years after the execution of the Agreement (the “Initial Term”), subject to extension upon mutual agreement of the Parties.

Discussion. The Agreement with Franco-Nevada is expected to accelerate the growth of the Company’s royalty portfolio by allowing EMX to direct a larger amount of capital towards new royalty acquisitions through exploration royalty financing or other entrepreneurial means. EMX’s assets currently include over 250 exploration and early stage royalty generation projects, in addition to six producing and eleven advanced royalty properties. The Company has active programs and important assets in North America (the western U.S., Canada, and Mexico), South America (Chile, Peru, and Argentina), Europe (Fennoscandia, Serbia and the other Balkans), western Asia (Turkey), Africa (Morocco and Botswana), and Australia. From these countries and regions, the Company manages its portfolio utilizing in-country or in-region exploration teams, consultants, and advisers. EMX’s search for new royalty opportunities will be led in the western hemisphere by Chief Geologist, Dr. David Johnson, in the eastern hemisphere by General Manager of Exploration, Dr. Eric Jensen, and globally by General Manager of Corporate Development, Thomas Mair.

The precious metals and copper focused search for new royalties leverages EMX’s experience in assessing opportunities for these commodities. The Company’s portfolio is principally comprised of gold (59%) and copper (21%) assets, with battery (e.g., cobalt, nickel, etc.) and other metals (e.g., lead, zinc, etc.) accounting for the remaining 20%. The Company’s current portfolio provides a strong base from which to source new royalties for both companies.

EMX is well positioned to source new royalty opportunities under the Agreement. In particular, the EMX - Franco-Nevada initiative well-suited for the acquisition of new royalties from companies that have promising precious metals or copper projects, but are confronted by the current challenging environment for exploration funding. Interested third parties are encouraged to see www.EMXroyalty.com for more information regarding key management contacts, as well as the Company’s portfolio and business strategy.

    Corporate Updates

Execution of Updated Timok Royalty Agreement

EMX executed an amended and restated royalty agreement on September 1, 2023 for its Timok royalty property with Zijin (Europe) International Mining Company Ltd., a wholly owned subsidiary of Zijin Mining Group Ltd (“Zijin”). EMX and Zijin have agreed that the Timok royalty will consist of a 0.3625% Net Smelter Return (“NSR”) royalty that is uncapped and cannot be repurchased or reduced. The royalty covers Zijin’s Brestovac exploration permit area (including the Cukaru Peki Mining licenses), as well as portions of Zijin’s Jasikovo-Durlan Potak exploration license north of the currently active Bor Mine license (see EMX news release dated September 5, 2023). Cukaru Peki represents one of the premier copper and gold discoveries in the world in the past 10 years and is a top tier royalty asset for EMX.

Subsequent to the execution of the amended and restated royalty agreement, EMX received $6,676,000 in royalty proceeds from its Timok royalty property with Zijin which included $1,590,000 from 2021, $3,200,000 from 2022, and $1,890,000 up to June 30, 2023 (see EMX news release dated September 12, 2023). From that point forward EMX will continue to receive quarterly production royalty payments on an ongoing basis.

1 Adjusted revenue and other income and adjusted cash provided by operating activities are non-IFRS financial measures with no standardized meaning under IFRS and might not be comparable to similar financial measures disclosed by other issuers. Refer to the "Non-IFRS financial measures" section on page 24 of the Q3-2023 MD&A for more information on each non-IFRS financial measure.

Execution of Acquisition Agreement for New Royalties with Franco-Nevada

EMX executed a binding term sheet with Franco-Nevada Corporation (“Franco-Nevada”) (NYSE and TSX: FNV) for the joint acquisition of newly created precious metals and copper royalties sourced by EMX (see EMX news release dated August 1, 2023). Franco-Nevada will contribute 55% (up to $5,500,000) and EMX will contribute 45% (up to $4,500,000) towards the royalty acquisitions, with the resulting royalty interests equally split (i.e. 50/50). The initial term is for three years, or until the maximum contributions totaling $10,000,000 from both companies have been met, and may be extended if mutually agreed by both companies. The agreement allows EMX to direct a large amount of capital towards the royalty generation aspect of its business model, and Franco-Nevada to participate in exploration stage royalty financing opportunities identified by EMX.

"Vancouver, British Columbia, November 9, 2023 (NYSE American: EMX; TSX Venture: EMX; Frankfurt: 6E9) – EMX Royalty Corporation (the "Company" or "EMX") is pleased to announce the receipt of US$356,718 in Q3 royalty proceeds from its Balya North royalty property in Türkiye, which is operated by Esan Eczacibaşi Endüstriyel Hammaddeler San. ve Tic. A.Ş. ("Esan"), a private Turkish company. EMX holds an uncapped 4% net smelter return ("NSR") royalty on metals production from Balya North, a newly commissioned lead-zinc-silver mine in the Balya Mining District of northwestern Türkiye. The Q3 royalty payment is markedly higher than any previous payment and reflects another quarter of accelerating production at Balya North (see Figure 1).

The Q3 royalty payment was based upon the processing of 161,133 tonnes of mineralized material from Balya North, averaging 1.63% lead, 1.24% zinc and 51 grams per tonne of silver. Production continues to ramp up at Balya North after EMX received its initial royalty payments from the Balya North Mine in September 2022 (see EMX news release dated September 15, 2022).

Balya North Lead-Zinc-Silver Deposit: The Balya North lead-zinc-silver deposit is situated in the historic Balya mining district of northwestern Turkey. Mining at Balya has taken place since antiquity, with several generations of historical operations. The Balya North property contains extensive zones of shear-zone hosted and carbonate replacement style ("CRD") lead-zinc-silver mineralization developed in and around a series of dacite intrusions emplaced into a limestone-rich sedimentary sequence.

Esan acquired the EMX royalty property at the end of 2019 (See EMX news release dated January 7, 2020) and is a private Turkish company that operates nearly 40 mines and eight processing plants. Esan also operates a lead-zinc mine ("Balya Main") and flotation mill on the property immediately adjacent to EMX's Balya North royalty property. The mineralization at Balya North is effectively an extension of the mineralization currently being mined by Esan in the Balya Main deposit.

"Vancouver, British Columbia, January 3, 2024 (NYSE American: EMX; TSX Venture: EMX; Frankfurt: 6E9) – EMX Royalty Corporation (the “Company” or “EMX”) is pleased to announce the execution of an option agreement for EMX’s Sagvoll and Meråker projects in Norway (see Figure 1) with Lumira Energy Ltd. (“Lumira”), a private Australian Company. The agreement provides EMX with 2.5% Net Smelter Return ("NSR") royalty interests, cash and equity payments, work commitments and other considerations. EMX has recently executed another agreement with Lumira for EMX’s Copperhole Creek project in Queensland Australia (see Company News Release dated September 13, 2023). In conjunction with these transactions, Lumira Energy intends to establish a public listing on the Australian Securities Exchange (ASX) in mid-year 2024 via an Initial Public Offering (“IPO”).

The polymetallic Sagvoll and Meråker projects in Norway are positioned along a prolific metallogenic belt in Norway that includes the historic Røros volcanogenic massive sulfide (“VMS”) district. The Meråker project hosts VMS styles of mineralization, while the Sagvoll project contains both VMS and magmatic nickel-copper sulfide targets. Prior to EMX’s involvement, little work had been done on the Meråker project in the past 50 years, and Sagvoll has not seen substantive exploration since Falconbridge Ltd. last conducted exploration there in the early 2000’s. Together with the Copperhole Creek project in Australia, these projects will form a strong “starter portfolio” for Lumira in support of their upcoming IPO.

Commercial Terms Overview: All terms in Australian Dollars (AUD) unless otherwise indicated. Upon execution, Lumira will make a cash payment of $50,000 to EMX. Lumira will vest a 100% interest in the Projects, by granting to EMX:

A 2.5% NSR royalty interest on each project.
Annual advance royalty (“AAR”) payments of $35,000 per project per year commencing upon the second anniversary of the IPO, with the AAR payments escalating by 15% per year until reaching a maximum of $100,000 per year.
Equity payments of $150,000 in shares of Lumira upon completion of the IPO along with the same number of options exercisable at a 50% premium to the IPO price for two years and an additional same number of options exercisable at a 100% premium to the IPO price for three years.
An additional 750,000 shares upon the first anniversary of the IPO.
    Milestone payments as follows:
$250,000 in cash upon completion of a Preliminary Economic Assessment (or equivalent study)
$500,000 in cash upon completion of a Prefeasibility Study

To maintain its interest in the projects, Lumira will also:

Spend $150,000 in exploration expenditures per project by the first anniversary of execution.
Commit to $650,000 in exploration expenditures by the first anniversary of the IPO with a minimum of $200,000 spent on each project (if both are maintained).
Commit to $750,000 in exploration expenditures by the second anniversary of the IPO with a minimum of $250,000 spent on each project (if both are maintained).
Complete a cumulative of $5,000,000 in exploration expenditures by the 5th anniversary of execution, with a minimum of $1,200,000 spent on each project (if both are maintained).

Within 72 months of executing the agreement, Lumira will have the right to re-purchase 0.5% of the NSR Royalty on each Project for $1,000,000.

Overviews of the projects. The Sagvoll and Meråker polymetallic projects in Norway are located in the early Paleozoic VMS belt in Norway, which saw numerous districts and mines in operation from the 1600’s through the 1990’s. This metallogenic region represents a tectonically displaced continuation of the Cambrian-Ordovician VMS belts in northeastern North America, which includes the Buchans and Bathurst VMS camps in eastern Canada, and also the Avoca VMS district in Ireland. As such, this represents one of the more prolific VMS belts in the world in terms of total production from its various mining districts, albeit now tectonically displaced and occurring along opposite sides of the Atlantic Ocean.

Sagvoll Project, Caledonian VMS Belt, Southern Norway: The Sagvoll project in southern Norway consists of both VMS and magmatic nickel-copper sulfide mineralization developed along the Caledonian mountain belt. At Sagvoll, mineralization and historic mining areas are positioned along a 13-kilometer trend (see Figure 2). Although multiple historic mines were developed in the area, only limited historical drilling has taken place, most of which were drilled over 100 years ago. Many prospects and mining areas remain untested. The most recent work conducted in the district took place in 2006, when Falconbridge Ltd (later Xstrata PLC) flew airborne geophysical surveys and identified five prioritized nickel-copper targets and 11 VMS targets for further exploration and drill testing. However, the follow-up exploration work was never completed.

EMX has identified several “walk-up” style drill targets based upon the historical and more recent Falconbridge/Xstrata data and will work closely with Lumira to systematically explore the area. EMX explored the Sagvoll project in 2022 and conducted extensive soil sampling campaigns over the VMS trend to identify the continuation of outcropping VMS mineralization at the Akervoll and Malså prospects. The company has further carried out reconnaissance field mapping, review of historical drill core, and lithogeochemical sampling to identify alteration and mineralization zoning patterns. In 2023 the Company focused on the Skjærkerdalen Nickel target and conducted field mapping campaigns to understand the distribution of mineralized mafic intrusions in the area.

Meråker, Caledonian VMS Belt, Southern Norway. Located near the Norwegian city of Trondheim, the 18,600 Ha Meråker project contains multiple historic mines and prospects developed on trends of polymetallic VMS style mineralization (see Figure 3). Copper was the chief product from many of the historic mines, but significant zinc mineralization is seen in the mine dumps and outcrops in the area. There are several parallel trends of mineralization within the project area, extending for nearly 30 kilometers along strike. Little modern exploration has taken place at Meråker.

The Company and its former partner Norra Metals together with the NGU (Geological Survey of Norway) jointly carried out an airborne EM survey over the Meråker project in 2021. In 2023 EMX carried out reconnaissance mapping and sampling covering various prospects in the Meråker license block with positive base metal results. An extensive soil sampling program, including 4750 samples covered the prospective Fonnfjell, Mannfjell and Lillefjell targets, which warrant follow-up work.

More information on the Project can be found at www.EMXroyalty.com.

Comments on Nearby and Adjacent Properties. The deposits, projects and mines discussed in this news release provide context for EMX’s Project, which occurs in a similar geologic setting, but this is not necessarily indicative that the Project hosts similar quantities, grades or styles of mineralization.

"Vancouver, British Columbia, January 30, 2024 (NYSE American: EMX; TSX Venture: EMX; Frankfurt: 6E9) – EMX Royalty Corporation (the “Company” or “EMX”) is pleased to announce the execution of a purchase agreement with Aurora Exploration OY (“Aurora”), a private Finish company, for Aurora’s royalty interest covering the Mustajärvi gold project in Finland (the “Project”). The Mustajärvi project is located in the prolific Central Lapland Greenstone Belt in northern Finland, which hosts several recent gold discoveries as well as the Kittila Gold Mine, operated by Agnico Eagle Mines Ltd (NYSE:AEM). The Mustajärvi project is currently being advanced by Firefox Gold Corporation (TSX.V:FFOX; “Firefox”).

The Mustajärvi project was originally acquired by Aurora in 2017 and subsequently sold to Firefox. Further exploration and drilling by Firefox led to the discovery of significant gold mineralization within the Project area (see various news releases by Firefox between 2018 and 2023). As part of the transaction with Firefox, Aurora retained a 1% NSR royalty, to be acquired by EMX. Half of the NSR royalty (0.5%) can be repurchased by Firefox for US$500,000 upon receipt of a positive feasibility study. Further information on the project can be found at Firefox’s website (www.firefoxgold.com) and in the Project’s 2018 NI-43-101 Technical Report, which has been filed on SEDAR.

Firefox recently announced a partnership with Agnico Eagle Mines Ltd, including a private placement into Firefox (see Firefox News Release dated December 20, 2023). In its announcement, Firefox reported that proceeds from the private placement will be used to further advance and drill the Mustajärvi project.

Commercial Terms Overview: As consideration for the royalty interest, EMX has paid Aurora US$80,000 and will issue 30,000 common shares of the Company to Aurora, subject to receiving final acceptance from the TSX Venture Exchange. These are the sole considerations for the purchase of the royalty.

Overview of the Project. The Mustajärvi project is located in Northen Finland in the Central Lapland Greenstone Belt and is hosted within the Mustajärvi shear-zone (MSZ). The MSZ lies between the regional Venejoki and Sirkka shear zones, which host numerous gold occurrences and deposits including Rupert Resources’ recent Ikkari gold discovery.

Gold mineralization at Mustajärvi appears to be developed within “dilational jogs” along the MSZ. Drill defined zones of mineralization have now been reported over a 2.1km trend. The mineralization chiefly occurs as quartz-carbonate-tourmaline veins along contacts between intercalated siliciclastic meta-sediments and mafic-ultramafic volcanic rocks, a common control of gold mineralization in the region. The currently defined zones of mineralization remain open along strike at both ends of the trend as well as at depth.

Recent exploration activities concentrated on the “East Target”, where Firefox reported the discovery of a new zone of gold mineralization in 2022-2023. Drill intercepts in the East Target include hole 22MJ006 with 13.85 meters of 28.74 g/t Au from an in-hole depth of 24.15 meters, 22MJ021 with 15.5 meters of 13.09g/t Au from an in-hole depth of 11 meters and hole 23MJ004 with 20.45 meters of 5.14 g/t Au from an in-hole depth of 12 meters1. Elsewhere on the property, significant intercepts include drill hole 21MJ010 with 16.45 meters at 7.69 g/t Au from an in-hole depth of 154.15 meters1. Firefox and previous explorers have drilled a combined total of 14,158 meters on the property so far.

1 In its news releases dated September 9, 2021, September 6, 2022, January 18, 2023 and July 18, 2023 Firefox has reported that “drilling is believed to be perpendicular to the dip of the mineralization, however true widths are not yet known and will be confirmed with additional drilling and geologic modelling.” Although these results were reported in compliance with NI43-101 protocols and are believed to be reliable and relevant, EMX has not performed sufficient work to verify the published assay results.
